Notice of Directors Meeting at the 2019 Convention

NOTICE OF SPECIAL BOARD OF DIRECTORS MEETING

In accordance with Article X of the NCHA Constitution and Bylaws (regarding amending or modification of the Constitution and Bylaws), notice is hereby given that the following modification to the Constitution and Bylaws will be reviewed and voted upon by the NCHA Board of Directors at a specially called meeting of the Directors to be held on May 31, 2019 at 8:00 a.m. at the NCHA Annual Convention in Fort Worth, Texas.

1.         Explanation of the Situation

            At the 2018 Convention, the Board of Directors approved modifications to Article V of NCHA Bylaws which relates to elections of Regional and At Large Members to the Executive Committee. Under the new Article V, in order to be eligible to be elected to those slots, nominees for At Large slots on the Executive Committee were required to fill out an application form and return it to the Executive Director by March 1 and nominees for Regional slots on the Executive Committee were required to fill out an application form and submit it to the Executive Director at least 90 days before the Regional Director election. It has come to the attention of the Executive Committee that an application form was apparently never produced nor was there a notice posted on the NCHA web site reminding the new members of this new procedure. Therefore, no one has met those time requirements to be eligible to fill any Regional or At Large positions on the Executive Committee.

2.         Item to be Considered and Voted On

Consider the following Motion:

            Move to temporarily suspend the enforcement of the provisions of Article V, Section One, e.1 and One, e.2 only as it applies to the elections at the 2019 Convention for the election for At Large and Regional Directors to fill open positions on the NCHA Executive Committee and to allow persons to be nominated for and elected to those positions under the procedures for electing a regional or at large position to the Executive Committee as reflected in the 2018 version of the NCHA Constitution and Bylaws.
